Terms of Service for Morphr

Welcome to Morphr! These Terms of Service ("Terms") govern your use of the Morphr Chrome Extension ("Extension") and associated website and services (collectively, the "Service") provided by Seven Styles Pty Ltd, doing business as Morphr ("Morphr," "we," "us," or "our"). By installing the Extension or using the Service, you agree to be bound by these Terms.

1. Description of Service

Morphr is a Chrome Extension that allows users to edit images found on the web using Artificial Intelligence (AI) from providers like OpenAI and Replicate. Users can initiate edits by hovering over images, provide text prompts and reference images to guide the AI, and save their favorite images to personal collections for later use. The Service operates on a credit-based system for image generations.

2. Acceptance of Terms

By accessing or using our Service, you confirm that you can form a binding contract with Morphr, that you accept these Terms, and that you agree to comply with them. If you do not agree to these Terms, you must not use our Service.

3. User Accounts

To access certain features of the Service, including the credit system and image generation, you must create an account by signing in with Google. You are responsible for maintaining the confidentiality of your account and are fully responsible for all activities that occur under your account. You agree to immediately notify Morphr of any unauthorized use of your account or any other breach of security. Morphr will not be liable for any loss or damage arising from your failure to comply with this section.

4. Credits and Payments

The Service utilizes a credit system for image generations. Users can purchase credits through the Service. All payments are processed by our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy.

Morphr is the seller of these credits. The pricing for credit packages is displayed within the Service. We reserve the right to change credit package pricing at any time.

Refund Policy: All credit purchases are final and non-refundable except as required by applicable law.

Credits are non-transferable and have no cash value outside of their use within the Morphr Service.

5. User Conduct

You agree not to use the Service to:

  • Upload, input, or generate any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Create content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Attempt to reverse engineer, decompile, or disassemble any aspect of the Service or its underlying technology, including the Extension and backend systems.
  • Use the Service for any illegal purpose, or in violation of any local, state, national, or international law.
  • Overburden, damage, or impair the Service or interfere with any other party's use of the Service.
  • Comply with all applicable terms and policies of our third-party service providers, including but not limited to the usage policies of our AI providers (such as OpenAI and Replicate), which are incorporated herein by reference.

You are solely responsible for the prompts and reference images you provide ("Input Content") and the images generated by the AI based on your input ("Output Content").

6. Intellectual Property

Our Service: Morphr and its licensors own all right, title, and interest in and to the Service, including all associated intellectual property rights (e.g., the Extension software, website design, branding). These Terms do not grant you any rights to use Morphr trademarks or other brand elements.

Input and Output Content: You retain any ownership rights you have in your Input Content. Subject to your compliance with these Terms and the terms of our third-party AI providers, and to the extent permitted by applicable law and their policies, you may own the rights to the Output Content you generate. However, AI-generated content operates in a complex and evolving legal landscape. Morphr makes no warranties or representations regarding your ownership or ability to use Output Content for any specific purpose. The use of Output Content may also be subject to the terms of our AI providers (e.g., OpenAI's Terms of Use).

Content in Collections: By saving any Input Content or Output Content to your personal collection, you grant Morphr a worldwide, non-exclusive, royalty-free license to store, reproduce, and display that content solely for the purpose of providing the Collections feature to you. This license ends when you delete the content from your collection or when your account is terminated.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MORPHR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

MORPHR MAKES NO WARRANTIES REGARDING THE ACCURACY, QUALITY, OR RELIABILITY OF ANY OUTPUT CONTENT GENERATED THROUGH THE SERVICE. YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT CAN BE UNPREDICTABLE AND MAY SOMETIMES PRODUCE INACCURATE, OFFENSIVE, OR OTHERWISE UNDESIRABLE RESULTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORPHR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL MORPHR'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO MORPHR FOR THE USE OF THE SERVICE IN THE LAST SIX MONTHS.

9. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and can request data deletion as outlined in our Privacy Policy.

If your access or account is terminated or suspended due to your breach of these Terms, you will not be eligible for a refund of any unused credits, and any remaining credits may be forfeited.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia to resolve any dispute or claim arising from these Terms or your use of the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
